Terms of Service

These Terms of Service (“Terms”) govern your use of arbidle, operated by [LEGAL ENTITY NAME](“we”, “us”). By installing the extension, signing in to a portal, or using the exchange, you agree to these Terms. If you do not agree, do not use the service.
1. The service
arbidleis an advertising exchange that surfaces a signed, sandboxed advertisement in a developer's editor during agent/build/test wait states, and shares revenue with the developer. We detect wait states only from the editor's Shell Integration command signals — we do not read your source code, terminal output, files, environment, or logs.
2. Eligibility & accounts
You must be of legal age to form a binding contract and able to receive payments in your jurisdiction. You are responsible for activity under your account and for keeping your credentials secure. We may suspend accounts that violate these Terms.
3. Developer earnings & payouts
- You earn a stated share (currently 70%) of the clearing price of each verified impression — impressions carrying a valid Proof-of-Work proof and behavioral attestation. Unverified or fraudulent activity does not earn.
- Earnings accrue to a balance and are paid out through your chosen payout provider (e.g. Stripe Connect, PayPal, or Wise) once your balance exceeds the stated minimum. You must complete that provider's identity/tax verification to receive funds.
- Earnings figures shown in the dashboard are estimates until settled. We may correct balances for fraud, error, advertiser chargebacks, or reversed payments. We do not guarantee any minimum earnings.
- You are responsible for any taxes on amounts you receive. Where required, we (or our payout providers) will collect tax forms and issue tax documents.
4. Advertiser billing
Advertisers are billed for verified impressions through our payment processor on a usage basis. You authorize us to charge your payment method for amounts incurred. Disputes, refunds, and chargebacks are handled per our processor's rules and any separate advertiser agreement. Fees and rates may change with notice.
5. Acceptable use (advertisers & content)
Advertisements and account usage must not:
- contain malware, deceptive claims, illegal goods/services, or infringing content;
- target protected classes unlawfully, or include adult, hateful, or violent content;
- attempt to defraud the exchange (e.g. fabricating impressions/clicks, evading Proof-of-Work or attestation, or farming referrals); or
- interfere with, reverse-engineer for circumvention, or attack the service.
We may remove content or suspend accounts that violate this section.
6. Referral program
Referral bonuses are paid only when a referred developer reaches the stated verified-earnings threshold, are capped per referrer, and may be withheld for abuse or self-referral. See the in-product details for current amounts.
7. Disclaimers
The service is provided “as is” without warranties of any kind, to the maximum extent permitted by law. We do not warrant uninterrupted or error-free operation, or any specific earnings, fill rate, or payout timing.
8. Limitation of liability
To the maximum extent permitted by law, [LEGAL ENTITY NAME] is not liable for indirect, incidental, or consequential damages, and our aggregate liability is limited to the greater of amounts we paid or owed you in the prior three months, or USD 100.
9. Changes & termination
We may modify these Terms or the service; material changes will be posted here with an updated date. You may stop using the service at any time; we may suspend or terminate access for violations. Accrued, verified, non-disputed earnings remain payable per Section 3.
10. Governing law
These Terms are governed by the laws of [JURISDICTION], without regard to conflict-of-law rules. Disputes will be resolved in the courts of that jurisdiction unless a separate agreement says otherwise.
